Eligibility: DTLA Holiday Adventure (the "Contest”) is open to those who are 18 years of age or older as of the date of entry. The Contest is only open to legal residents of United States and is void where prohibited by law. Employees of the Downtown Center Business Improvement District Management Corporation (“DCBID”), its affiliates, subsidiaries, advertising and promotion agencies, and suppliers, (collectively the “Employees”), and immediate family members and/or those living in the same household of Employees are not eligible to participate in the Contest. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

Agreement to Rules: By participating, the Contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of DCBID as final and binding as it relates to the content of this Contest.

Contest Period: The Contest will run starting on November 23, 2022 at 12:01 AM PST and ending January 1, 2023 11:59 PM PST. All challenges in the Contest must be completed by January 1,2023 11:59 PM PST to qualify.

Prizes: A total of seventy five (75) winners (the "Winner" or "Winners") will be identified in the Event. The top fifty (50) Contestants who have earned the highest number of points at the end of the contest will receive one hundred dollar(s) ($100) in gift card(s) to downtown Los Angeles businesses as determined by the DCBID. The first twenty five (25) Contestants who earn 1,000 points will win two free ice skating tickets to Holiday Ice Pershing Square. No cash or other prize substitution shall be permitted.

How to Enter: The Contest must be entered by completing at least one challenge through the DTLA Holiday Adventure in the Eventzee App. Only one entry per person. The number of anticipated Contestants is six hundred (600). The maximum number of challenges that may be necessary to complete the contest and determine the Winners is fifty (50). NO PURCHASE IS NECESSARY TO ENTER OR WIN. By entering, You are opting in to the DCBID’s email communications from which you can unsubscribe at any time.

Winner Selection and Notification: In the case of a tie when determining the top fifty (50), the Contestants who are tied at the cut-off (i.e. tied for 50th place) will each receive the one hundred dollar ($100) prize. Winners will be identified no later than January 5, 2023. Winners will be notified via email within five (5) business days following identification of Winners. For those earning 1,000 points, an email notification will be sent within 10 business days with ice rink ticket promo codes while supplies last. DCBID shall have no liability for Winner’s failure to receive notices due to spam, junk e-mail or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, fails to claim the prize within seven (7) business days from the time award notification was sent, the prize may be forfeited, and an alternate Winner selected. Receipt by Winner of the prize offered in this Contest is conditioned upon compliance with any and all federal, state, and local laws and regulations. The DCBID reserves the right to review challenge completions and assess whether they qualify as completions.

Your Rights: You will retain all rights to any photograph and video You submit and shall not submit photographs or video to which you have no rights. By submitting photos and videos in the Contest, You grant DCBID a royalty-free, nonexclusive right, in perpetuity, to: use the photograph or video on the Internet in support of our mission; use the photograph or video in DCBID’s non-commercial communications, promotions and public art displays; use the photograph or video in DCBID-related news stories, newsletters, reports, slide shows, displays, web pages, and the like; use, in connection with the Contest, Your name, city, state and country of residence in promotions and other publications; and keep the files provided, and to archive the images on CD or in other electronic forms, so that Your photos and videos can be used to support our mission and be properly credited.

Terms & Conditions: DCBID reserves the right to modify award packages as needed if featured businesses are no longer available to offer products and services. DCBID reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest should computer virus/bug, non-authorized human intervention, fraud, or other cause beyond DCBID’s control corrupts or affects the administration, security, fairness, or proper conduct of the Contest. In such case, DCBID may select the Winners from all eligible entries received prior to and/or after (if appropriate) the action taken by DCBID. DCBID reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or website or violates these Terms & Conditions. DCBID has the right, in its sole discretion, to maintain the integrity of the Contest. Any attempt by a Contestant to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws. Should such attempt be made, DCBID reserves the right to seek damages to the fullest extent permitted by law.

Release and Limitation of Liability: By entering, You agree to the fullest extent permitted by law, to release and hold harmless DCBID and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors (“Releasee(s)”) from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such Contestant’s participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized intervention in any part of the entry process or the Contest; (v) electronic or human error in the administration of the Contest or the processing of entries. This release shall not operate to release a Releasee from their own gross negligence or intentional misconduct.

Disputes: This Contest IS GOVERNED BY THE LAWS OF THE UNITED STATES AND CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, You agree that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in California having jurisdiction. Further, in any such dispute, under no circumstances shall You be permitted to obtain awards for, and hereby waive all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than Your actual out-of-pocket expenses (i.e. costs associated with entering this Contest). You further waive all rights to have damages multiplied or increased.
